1. Introduction
Welcome to Mello, powered by Comtrova Technologies Limited (“Mello”, “we”, “our”, or “us”).
These Terms and Conditions (“Terms”) govern your access to and use of the Mello mobile application, along with any related features, software, and services (collectively, “the Services”). By creating an account or using Mello, you agree to be bound by these Terms.
2. Scope of Service
Mello provides subscription-based software solutions that help businesses, estate managers, and communities manage operations, utilities, and related digital workflows.
Your access to the services is provided under a subscription or license model, depending on your selected plan.
3. User Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials.
You agree to provide accurate and up-to-date information during registration.
Mello reserves the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.
4. Subscription, Billing, and Renewal
Access to premium features or business services shall require a paid subscription.
Subscriptions are billed in advance on a recurring basis (monthly or annually, as applicable).
You may cancel your subscription at any time before the next billing cycle.
Mello reserves the right to adjust subscription pricing with or without prior notice.
5. Use of the Platform
You agree to use the Services only for lawful purposes and in accordance with these Terms.
You shall not reverse engineer, resell, or modify any part of the platform without written permission.
Mello may monitor system usage to ensure compliance and service quality.
6. Eligibility
By using Mello, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are accessing the Services on behalf of an organization, you confirm that you have the authority to bind that entity to these Terms.
7. Data Ownership and Privacy
You retain ownership of all data you upload or manage through the platform (“Customer Data”).
By using the platform, you grant Mello a limited license to host, store, and process your data solely to deliver and improve the Services.
Mello will not share your data with third parties except as required by law or expressly authorized by you.
Our data handling practices comply with the Nigeria Data Protection Act 2023 (NDPA) and other relevant laws.

8. Service Availability and Uptime
Mello aims to maintain a high level of service uptime (typically above 99%).
Temporary interruptions may occur due to maintenance, upgrades, or unforeseen technical issues.
Mello will make reasonable efforts to notify users of planned downtime; however, Mello does not guarantee uninterrupted or error-free operation of the Services.
9. Support and Maintenance
Technical support is available to all active users via in-app chat or email.
Support hours are 9:00 AM – 6:00 PM (WAT), Monday to Friday.
Feature updates, patches, and security improvements are deployed periodically.
10. Intellectual Property
All software, trademarks, and content within the platform remain the intellectual property of Mello powered by Comtrova Technologies Limited.
Users are granted a limited, non-transferable license to use the Services during their active subscription period.
Unauthorized use or reproduction of Comtrova Technologies Limited’s materials is prohibited.
11. Limitation of Liability
Mello shall not be liable for direct, indirect, incidental, or consequential damages resulting from your use of the platform.
12. Termination
Either party may terminate access by providing written notice.
Upon termination, your right to use the platform ceases immediately, but you may request a copy of your data within 30 days.
Mello shall terminate or suspend service for breach of these Terms or misuse of the platform.
13. Updates to Terms
Mello may update these Terms periodically. We will notify you of any material changes via the app or email. Continued use of the Services after updates constitutes acceptance of the revised Terms.
14. Governing Law and Dispute Resolution
In the event of a dispute arising from or relating to these Terms, the parties shall first attempt to resolve the matter through mediation in good faith. If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
15. Force Majeure
Mello shall not be liable for any failure or delay in performing its obligations under these Terms if such failure results from causes beyond its reasonable control, including but not limited to acts of God, war, strikes, fire, flood, pandemic, power outages, or internet disruptions. In such cases, Mello’s obligations shall be suspended for the duration of the event.

17. Refund Policy
All fees paid for the use of Mello are non-refundable. By subscribing to our services, you agree that all payments made are final and no refunds or credits shall be provided, whether in whole or in part.
